1Agreement to Terms

By accessing or using the Omnial Command OS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

3Account Terms

To access certain features of Omnial, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Not share your account with unauthorized users
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

4Subscription & Billing

Available Plans

Billing Terms

• • Subscriptions are billed in advance on a monthly or annual basis
• • Annual subscriptions receive a discount and are non-refundable
• • Subscriptions automatically renew unless cancelled before renewal date
• • Upgrades take effect immediately; downgrades at next billing cycle
• • We accept major credit cards and invoice billing for Enterprise

Free Trial

We offer a 14-day free trial for new users. No credit card is required to start your trial. At the end of the trial period, you will be prompted to select a paid plan to continue using the service.

5Acceptable Use

You agree to use Omnial only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

6Your Content

You retain all rights to the content you upload, store, or transmit through Omnial. By using our Service, you grant us a limited license to:

• • Process and display your content as necessary to provide the Service
• • Create backups for data protection purposes
• • Aggregate and anonymize data for analytics and improvements

You are responsible for ensuring you have the right to upload and share any content, and that your content does not violate any third-party rights or applicable laws.

7Intellectual Property

The Omnial Command OS platform, including its design, features, code, documentation, and trademarks, is owned by Omnial, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent. The Omnial name, logo, and all related names and designs are trademarks of Omnial, Inc.

8Service Level Agreement

We guarantee 99.9% uptime for our platform. If we fail to meet this commitment:

• • 99.0% - 99.9% uptime: 10% service credit
• • 95.0% - 99.0% uptime: 25% service credit
• • Below 95.0% uptime: 50% service credit

Credits must be requested within 30 days of the incident. Scheduled maintenance is excluded from uptime calculations.

9Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO OMNIAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10Indemnification

You agree to indemnify, defend, and hold harmless Omnial and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

11Termination

By You: You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.

By Us: We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that harms other users or the Service.

Effect of Termination: Upon termination, you may export your data within 30 days. After this period, we will delete your data in accordance with our retention policy.

12Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

• Informal Resolution: First, contact us at legal@omnialcommand.com to resolve the issue informally.
• Arbitration: If unresolved within 60 days, disputes will be settled by binding arbitration in San Francisco, CA.
• Governing Law: These Terms are governed by the laws of the State of California.

13General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Omnial.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent; we may assign freely.
• Changes: We may update these Terms with notice via email or the platform.
